Profile:
Yaacov Salomon, Lipschutz & Co. is one of the oldest and first law firms to have been established in Israel (originally in Mandatory Palestine). In the 1920’s, the firm was founded by Harry Sacker, an English Barrister, and his successor was Advocate Shalom Horowitz, who founded the partnership of S. Horowitz & Co. In 1953 that partnership divided into two firms. The late Yaacov Salomon, together with the late Naphtali Lipschutz, formed the firm of Yaacov Salomon, Lipschutz & Co., with its principal office in Haifa and a branch office in the Tel-Aviv region (Ramat Gan).
The firm is made up of 16 partners, and also employs 38 salaried lawyers, 10 legal interns and an office staff of approximately 20 employees, including articled clerks. The firm deals in virtually all branches of the legal profession.
The firm acts as legal counsel to many of the largest companies and bodies in Israel and abroad, from the entire spectrum of business activities. These include bodies involved in infrastructure, banking, industrial companies, energy, technology, plant and purchasing organizations in the kibbutz sector, investors, real estate developers, some of the largest construction companies in Israel, and others.
The firm is a member of the Alliance of Business Lawyers - an international association which unites leading law firms from around the globe, providing full legal service in various commercial fields nationally as well as in international transactions.

Banking & Finance: The firm represents several of the largest banks in Israel and abroad. The firm provides ongoing counseling to the central managements of the banks as well as to all of their branches. The range of services are all-inclusive and encompass all types of financial contracts and arrangements, loans, guarantees, litigation, mergers between banks, acquisitions and sales of assets and real estate, capital market activities etc., as well as acting as receivers, liquidators, special managers and trustees in insolvency matters.
Company Re-Organization, Liquidations and Receiverships: The firm is highly active in the field of re-organization, receivership and liquidation of companies and cooperative societies.
Israeli Securities and Capital Market: The firm focuses on offerings of shares and debentures on the stock exchange, as well as private issues of debentures to institutional investors. The firm also advises its clients on reporting requirements, filing requirements and corporate governance matters in accordance with applicable laws.
Securities and Capital Markets Abroad: The firm handles the raising of capital abroad, including issues of debentures and shares for Israeli companies and corporations, issues to the public and private placements, both in the US and in other countries. The firm also provides its clients with advice on reporting requirements and disclosure obligations imposed by US and other international securities authorities and on compliance with worldwide securities regulations.
Mergers, Acquisitions and Commercial Transactions: The firm handles the purchase, sale and merger of listed and private companies, by both local and foreign investors. The firm assists many of its clients in large commercial transactions and has handled transactions in the fields of shipping, carriage of goods, construction and leasing of ships, establishment of projects in the field of tourism, medical, scientific and educational centers, accompanying international financial bodies, advising on international banking, transactions relating to the purchase of fuel, establishing fueling stations, development and trading in fuel and development of refineries in the petrochemical field, purchase, establishment and operation of quarries, accompanying transactions and establishment of agricultural and agro-industrial projects in Israel and abroad, based, inter alia, on technological and industrial know-how, handling projects in the fields of food and packaging in Israel and abroad, etc. The firm also deals with implementation of international contracts in the realm of basic and cellular telephony, and cable television in Eastern Europe, the U.S.A. and Asia, with numerous commercial transactions involving major projects in the Israeli economy in recent years, etc., as well as with mergers between Israeli companies and both foreign and Israeli companies.
Real Estate: The firm is engaged in all aspects of real estate law in Israel and aboard, including purchase, sale, expropriation, planning, change of zoning, project finance, promotion, organization and implementation of the most complex real estate transactions. This includes dealing with all authorities involved including the land registry bureaus and planning authorities and dealing with all relevant taxation issues. The firm represents construction companies, real estate developers and investors and is regularly involved in major real estate projects in Israel and abroad. In representing the owners of major shopping malls in Israel the firm advises clients regarding the construction of shopping centers and all aspects of their ongoing operations. The firm also represents a number of agricultural settlement bodies including kibbutzim and moshavim, in all matters relating to changes in zoning and expropriation of agricultural land, and acting for bodies that are injured by the paving of roads on their land.
Thailand: The firm represents Israeli and foreign clients in commercial transactions, joint ventures and investments in Thailand and neighboring countries. The firm has knowledge of the Thai legal system, business life and culture and has relationships with prominent Thai law firms.
Project Finance: The firm represents clients in all contractual aspects of borrowing and project financing in Israel, the US, Canada, Germany, the UK, Switzerland and other European and Asian Jurisdictions, and has extensive dealings with quasi governmental financing agents including Eximbank of the US, Export Dev. Corp of Canda, OPIC, KfW, Hermes, SACE, COFACE, export credit agencies of Finland and others.
Torts and Insurance Law: The firm represents insurance companies in all types of tort actions, including actions for personal injury and work-related diseases.
Administrative matters: The firm advises its clients in dealing with government offices, local authorities and others. In addition, the firm provides ongoing legal services to its clients in different projects, including obtaining licenses and other permits and negotiations with public authorities and government offices. The firm also represents educational institutions (non-profits) in dealings with the authorities.
Labor Law: The firm handles matters relating to labor relations, employment contracts, employee rights and the rights of foreign workers. The firm represents large employers in labor matters, including collective agreements and appears before the District and National Labor Courts.
Environmental Law: The firm represents companies in matters relating to the quality of the environment, including appearing on their behalf in applications to the High Court of Justice, representing quarries in environmental matters, acting for companies in matters relating to pollution of the sea, representing plants in charges relating to the laws governing the quality of the environment, and representing companies and plants in suits relating to water pollution.
Agriculture and laws relating to Water: The firm handles matters relating to agricultural laws and water resources on behalf of entities from the settlement movements, including kibbutzim, moshavim and other agricultural bodies.
Energy and Infrastructure: In this field, the firm represents key energy and infrastructure companies in Israel and has advised such clients in respect of international tenders and contracts involving major equipment purchases and infrastructure projects.
